The Republican River Water Conservation District (Seller) purchased the property currently being offered for sale to permanently retire its existing water rights in order for the large capacity irrigation well owners of the Republican River Water Conservation District to be in compliance with the Republican River Compact. The purpose and intent of the District is not to own real estate and thus, the District is offering the property without irrigation water rights for sale at public auction. The property being offered for sale includes 1,240.2+/- total acres of pasture, 438.1+/- acres of dryland at auction. The majority of the now dryland was previously pivot irrigated and the irrigation equipment is also being offered for sale at the land auction. The property is located 17 miles SE of Wray, CO in Yuma County. Possession of pasture will be upon closing. Possession of the dryland is after the 2018 harvest and the Buyer(s) to receive a portion of the cash rent. Livestock water for the pastures are provided by submersible well via a pipeline to 3 tanks. Seller to convey owned mineral rights to Buyer(s). The land to be offered in 4 Parcels, Combo, & Single Unit and the irrigation equipment to be offered for sale following the land auction.

SALE TERMS/PROCEDURE: The “Arikaree River Valley Property Auction” is a land and irrigation equipment auction with no reserve. Competitive bids will determine outcome of the land and irrigation equipment auction. The Seller to enter into a contract to purchase the land and sign a bill of sale for the irrigation equipment with the highest bidder(s). The land to be offered in 4 Parcels, Combo, and as a Single Unit and the irrigation equipment to be offered separately. The parcels, combo, single unit, and irrigation equipment will be offered in the sale order as stated within the brochure.  Seller agrees not to accept and negotiate any contracts to purchase land or sell any irrigation equipment prior to auction date. Bids will be taken for total purchase price not price per acre.

SIGNING OF PURCHASE CONTRACT: Immediately following the conclusion of the auction, the highest bidder(s) will sign Brokerage Disclosure and will enter into and sign a Contract to Buy and Sell Real Estate (Land) for the amount of the bid. Required earnest money deposit to be in the form of a personal, business, or corporate check for 15% of the purchase price which is due upon the signing of the contract and to be deposited with Reck Agri Realty & Auction. Purchase contract will not be contingent upon financing.  Terms and conditions in the detail brochure and oral announcements shall be incorporated and made a part of the contract. Sample contract is available within the detail brochure.

CLOSING: Buyer(s) shall pay in electronic transfer funds or cashier’s check (Good Funds), the balance of purchase price plus their respective closing costs, and sign and complete all customary or required documents at closing, which is on or before March 9, 2018. Closing to be conducted by Yuma County Abstract and the closing service fee to be split 50-50 between Seller and Buyer(s).

TITLE: Seller to pass title by Special Warranty Deed free and clear of all liens. Title Insurance to be used as evidence of marketable title and cost of the premium to be split 50-50 between Seller and Buyer(s). The Buyer(s) to receive a TBD title commitment within detail brochure, updated title commitment with Buyer(s) name, lender, purchase price, and all supplements and additions thereto after auction, and an owner’s title insurance policy in an amount equal to the Purchase Price after closing. Property to be sold subject to existing roads and highways; established easements and rights-of-way; prior mineral reservations; and other matters affected by title documents shown within the title commitment; and zoning, building, subdivision, and other restrictions and regulations of record. Title commitments are available for review within the detail brochure and at the auction and title commitment and exceptions will be incorporated and made a part of the Contract to Buy and Sell Real Estate (Land).

POSSESSION: Possession of pasture and improvements upon closing. Possession of growing crop subject to existing crop lease. Tenant shall have until July 31, 2018, to bale and remove wheat straw residue to the corner of the field.  Tenant shall have until October 1, 2018, to remove stacked wheat straw.

The prospective Buyer(s) should verify all information contained herein. All prospective bidders are urged to fully inspect the property, its condition, and to rely on their own conclusions and the property is being sold AS IS-WHERE IS, without warranty, representation or recourse to Seller.

Seller is retaining the irrigation water rights appurtenant to this property. Seller is allowing one of the three existing irrigation wells to be downsized to livestock use and the remaining two irrigation wells will be permanently capped. Within 7 days after the auction, Buyer(s) to declare which well they would like to be downsized to livestock use and Seller will pay for and permanently cap the remaining two wells prior to closing.  There will be a covenant on the property to insure the property remains in permanent dry-up never to be irrigated again.  

GROWING CROPS: Seller to convey to Buyer(s) 1/2 of the landlord’s cash rent paid for the planted wheat crop to be harvested in 2018. See property information for the cash rent amount for each parcel. Tenant to bale the wheat stubble residue.

FSA DETERMINATION:  FSA base acres and yields to pass with the Parcels, Combo, or Single Unit as designated within the detail brochure. Buyer(s) and Seller, at closing, to sign a memorandum of understanding stating the base acres and yields as designated within the detail brochure.

Buyer(s) to pay 2018 real estate taxes due in 2019, and thereafter. The real estate taxes shown within this brochure are estimated. When reviewing the tax assessor records, it appears some of the pasture is being assessed as dryland and the Buyer(s) may want to insure the previously irrigated is assessed as dryland.

Legal descriptions are subject to existing fence/field boundaries or land-use trades, if any. If the property sells in parcels and/or combo and a survey is required to create a metes and bounds legal description, Seller to provide and pay for said survey. Seller & Buyer(s) agree that closing may be extended up to 30 days if necessary to complete said survey.

MINERALS: Seller to convey all OWNED mineral rights to Buyer(s).    

NOXIOUS WEEDS & CHEMICALS: There may be areas infested by noxious weeds, (i.e. rye, bindweed, canadian thistle, rye, goat/Johnson grass, etc). The location of and the density of noxious weeds is unknown at this time.

ACREAGES: All stated acreages in the initial brochure, detail brochure, and visual presentation at the auction are approximate and are obtained from aerial photos from the FSA office. The county tax records may indicate different acreages and no warranty is expressed or implied as to exact acreages of property. All bids are for the total parcel without regard to exact acreage. There will be no adjustment in purchase price if acreage is different than what is stated in this brochure and/or stated at the auction.

The irrigation equipment as described will be offered for sale in its present condition. Where there is wheat planted, Seller will dismantle the pivots from the field and move the pivots to the corner. Buyer(s) will be responsible for dismantling the remaining pivots. Buyer(s) is responsible for removing electric irrigation motors, pumps, and panel boxes. Said equipment to be removed on or before March 31, 2018. Any equipment remaining on the property after said date becomes the property of the Buyer(s) of the property. The payment for the irrigation equipment is on the day of the auction. Buyer(s) will receive a bill of sale as receipt of payment and transfer of ownership. When inspecting the equipment, be respectful of the property and drive on pivot roads. Buyer(s) and/or interested parties may be liable for damage caused to the property or growing wheat crop.
