ONLINE BIDDING PROCEDURE: The Brown Pelican Farms, LLC property will be offered for sale in 5 parcels. BIDDING WILL BE ONLINE ONLY. Bidding will begin @ 8:00 am MT on April 14, 2020. The auction will “soft close” @ 12:00 noon, MT on April 16, 2020. Bidding remains open on all parcels as long as there is continued bidding on 1 or more of the parcels. Bidding will close when 5 minutes have passed with no new bids on 1 or more of the parcels. Bidders may bid on any and/or all parcels at any time before bidding closes.

SALE TERMS/PROCEDURE: The “BROWN PELICAN FARMS, LLC PIVOT IRRIGATED LAND AUCTION” with RESERVE is an online only auction with RESERVE. The Brown Pelican Farms, LLC property to be offered in 5 parcels. Competitive bids will determine the outcome of the auction. Seller reserves the right to accept or reject any and all bids. Seller agrees not to accept and negotiate any contracts to purchase prior to auction date. Bids will be taken for total purchase price not price per acre.

SIGNING OF PURCHASE CONTRACT: Immediately following the conclusion of the auction, the highest bidder(s) will sign Brokerage Disclosure and will enter into and sign a Contract to Purchase Agricultural Land for the amount of the bid. Required earnest money deposit to be in the form of a personal, business, or corporate check for 15% of the purchase price which is due upon the signing of the Contract to Purchase Agricultural Land and to be deposited with Reck Agri Realty & Auction. The Contract to Purchase Agricultural Land will not be contingent upon financing. Terms and conditions of the detail brochure and oral announcements shall be incorporated and made a part of the Contract to Purchase Agricultural Land. A Sample Contract to Purchase Agricultural Land is available within the detail brochure.

CLOSING: Buyer(s) shall pay in electronic transfer funds or cashier’s check (Good Funds), the balance of purchase price plus their respective closing costs, and sign and complete all customary or required documents at closing, which is on or before May 15, 2020. Closing to be conducted by Sedgwick County Title and the closing service fee to be split 50-50 between Seller and Buyer(s).

TITLE: Seller to pass title by Special Warranty Deed, subject only to the matters described in the TBD title commitment, updated title commitment and final title policy. Title Insurance to be used as evidence of marketable title and cost of the premium to be split 50-50 between Seller and Buyer(s). The Buyer(s) shall receive (i) a current title commitment as part of the detail brochure, (ii) an updated title commitment with Buyer(s) name, lender, purchase price, and all supplements and additions thereto, and (iii) an owner’s title insurance policy in an amount equal to the Purchase Price after closing. Property to be sold subject to existing roads and highways; established easements and rights-of-way; prior mineral reservations; and other matters affected by title documents shown within the title commitment; and zoning, building, subdivision, and other restrictions and regulations of record. Title commitments are available for review within the detail brochure and at the auction and title commitment and exceptions will be incorporated and made a part of the Contract to Purchase Agricultural Land.

POSSESSION: Possession of the Property shall be given to Buyer(s) at closing, subject to existing lease on Parcels #1 & #4. Copies of said lease available from the listing company upon request. (No early lease termination for 2020 crop season.) Possession of Parcels #2, #3, & #5 is available upon the Buyer(s) entering into an agreement with Seller to allow the following: Upon signing of Contract to Purchase Agricultural Land with Seller at the auction and the earnest money clearing the banking system and being legally sufficient funds, Buyer(s) may enter onto property and complete the necessary fieldwork to plant crops. Any completion of fieldwork and planting of crops does not constitute a farm lease. If Buyer(s) defaults and doesn’t close, all fieldwork, crop expenses, and earnest money is forfeited to Seller. If closing does not occur due to the default of Seller, Seller to reimburse Buyer(s) for fieldwork completed at custom rates and invoiced crop
expenses.

PROPERTY CONDITION: The Property is being sold on a strictly AS IS-WHERE IS basis, and no warranty or representation, either expressed or implied, concerning the Property is made by the Seller, Broker or Reck Agri Realty & Auction unless agreed to in writing by Seller. Each potential bidder is responsible for conducting his or her own independent inspections, investigations, inquiries, and due diligence concerning the Property. All such due diligence shall be conducted and completed by each potential bidder prior to the auction.

WATER RIGHTS & EQUIPMENT: Seller to convey all Seller’s water, water rights, water wells, and irrigation equipment, well permits, ditch rights, reservoir rights, lateral rights, and all easements and rights-of-way associated with said water rights, all rights to transport, convey, and deliver water from said water rights through canals, ditches, and laterals; and all irrigation wells appurtenant to the property, including but not limited to the following: all water rights thereof by virtue of the inclusion therein of the above real estate within the boundaries of the Julesburg Irrigation District, being 971.0 District Acres; Hickman Well 2-10616 and Hickman Well 3-2902-F adjudicated in Case No. W-5007, augmented by Sedgwick County Well Users; and 7 shares of Peterson Augmentation, LLC (Stock Cert. #51). Irrigation assessments for the 2020 crop season to be paid by Buyer(s). The water rights are subject to the rules, regulations, and limitations of the Colorado Division of Water Resources, Julesburg Irrigation District, Sedgwick County Well Users, and Peterson Augmentation, LLC. Water rights are being sold AS IS-WHERE IS without warranty or guarantee of any water right matters, pumping rates/adequacy of irrigation wells and condition of all irrigation equipment.

GROWING CROPS: Seller to convey to Buyer(s) landlord’s 2020 cash rent lease payment on Parcels #1 & #4 as per the terms of the existing lease if not terminated. Farm lease provides an early termination provision.
FSA DETERMINATION: FSA base acres and yields to pass with the Parcels as designated within the detail brochure.
Buyer(s) and Seller, at closing, to sign a memorandum of understanding stating the base acres and yields as designated within the detail brochure.

REAL ESTATE TAXES: 2020 real estate taxes due in 2021 to be paid by Buyer(s).

LEGAL DESCRIPTION: Legal descriptions are subject to existing fence/field boundaries or land-use trades, if any.

MINERALS: Seller to convey all OWNED mineral rights to Buyer(s).

NOXIOUS WEEDS: There may be areas infested by noxious weeds, (i.e. rye, bindweed, Canadian thistle, etc.). The location of and the density of noxious weeds is unknown at this time.

ACREAGES: All stated acreages in the initial brochure, detail brochure, and visual presentation at the auction are approximate and are obtained from aerial photos from the FSA office. The county tax records may indicate different acreages and no warranty is expressed or implied as to exact acreages of property. All bids are for the total parcel without regard to exact acreage. There will be no adjustment in purchase price if acreage is different than what is stated in this brochure and/or stated at the auction.
